These Terms of Service (“Terms”) govern your access to and use of the BaselineWatch platform, products, and services (“Services”). By accessing or using any part of our Services, you agree to be bound by these Terms.

1. Description of Services

BaselineWatch provides financial intelligence by analyzing SEC filing disclosure changes across U.S. publicly traded equities. Our Services include a dashboard, risk alerts, scoring data, editorial content, and API access across various subscription tiers.

2. User Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

3. Subscription & Billing

Paid subscriptions are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel at any time; access continues through the end of your billing period. Refunds are handled on a case-by-case basis.

4. Not Financial Advice

BaselineWatch provides informational data and analysis only. Nothing on this platform constitutes investment advice, financial advice, trading advice, or any other sort of advice. You should not treat any of the platform’s content as such. BaselineWatch does not recommend any specific securities, portfolios, transactions, or investment strategies. Always conduct your own due diligence and consult a licensed financial advisor before making investment decisions.

5. Intellectual Property

All content, scoring methodologies, algorithms, data compilations, and visual design elements are the exclusive property of BaselineWatch Inc. You may not reproduce, distribute, reverse-engineer, or create derivative works from our proprietary content without prior written consent.

6. Acceptable Use

You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the platform; (c) scrape, crawl, or use automated means to extract data beyond authorized API access; (d) redistribute or resell data obtained from the Services; (e) interfere with or disrupt the integrity or performance of the Services.

7. Data Accuracy & Limitation of Liability

While we strive for accuracy, BaselineWatch makes no warranties regarding the completeness, reliability, or accuracy of any data, scores, or analysis. The Services are provided “as is” without warranty of any kind. In no event shall BaselineWatch be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

8. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or through the platform. Continued use of the Services after changes constitutes acceptance of the updated Terms.
