By accessing or using baselinewatch.com or the Distress Radar service (the "Service"), you agree to these Terms of Service and to our Privacy Policy and Disclaimer & Risk Disclosure, which are incorporated by reference. If you do not agree, do not use the Service.
Distress Radar provides statistical, model-derived risk scores, indicators, and automated summaries based on publicly available SEC filings and market data. The Service is provided for informational purposes only.
The Service is not investment advice, financial advice, a recommendation, or an offer or solicitation to buy or sell any security. BaselineWatch is not a registered investment adviser, broker-dealer, or financial planner, and no fiduciary or advisory relationship is created by your use of the Service. Scores are statistical model outputs (similar in nature to a credit score) and may be inaccurate. You are solely responsible for your own investment decisions and should consult a licensed professional and read the underlying SEC filings before acting.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Service for your own personal or internal business use. You may not redistribute, resell, sublicense, publicly display, scrape, or create derivative data products from the Service without a separate written license (available to institutional customers). All rights not expressly granted are reserved.
You may cancel at any time from your Account page. Cancellation stops future renewals; your access continues until the end of the current paid billing period. Fees already paid are non-refundable, and we do not provide refunds or credits for partial billing periods, except where required by law or granted at our sole discretion. To avoid being charged after a free trial, cancel before the trial ends.
You agree not to: use the Service unlawfully; scrape, crawl, reverse-engineer, decompile, or attempt to extract the underlying models, methodology, weights, or source data; resell or redistribute outputs without a license; circumvent access controls or trial limits; or use the Service to harass, defame, or manipulate any market.
The Service, including all software, models, methodology, scoring logic, and content, is owned by BaselineWatch and protected by law. The methodology and model architecture are confidential trade secrets. We license you the outputs for permitted use only; nothing transfers ownership of any IP to you.
Payments are processed by third parties (e.g., Stripe); market and filing data are sourced from third parties. Your use of those services is subject to their terms. We are not responsible for third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that scores, summaries, or data are accurate, complete, timely, or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASELINEWATCH WILL NOT BE LIABLE FOR ANY INVESTMENT OR TRADING LOSSES, OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.
You agree to indemnify and hold BaselineWatch harmless from claims arising out of your use of the Service or violation of these Terms.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Any dispute will be resolved by binding individual arbitration in Florida, and you and BaselineWatch waive any right to a jury trial or to participate in a class action, to the extent permitted by law.
We may update these Terms from time to time. Material changes will be posted with a new effective date; continued use after changes constitutes acceptance.
